Abstract

This paper summarizes the research on the ways of minor shareholders' participation in corporate governance. The ways of minor shareholders' participation in corporate governance include voting with hands, voting with feet and voting with mouths. In this paper, the case analysis of Gree Electric Appliances' general meeting of directors election shows that the activism of minor shareholders can play a better role in governance. However, controlling shareholders may take passive means such as related transactions to seize the interests of minor shareholders. Finally, this paper puts forward some suggestions to strengthen the protection of minor shareholders' rights and comments on the policy enlightenment.
