A Summary of Research on the Application of Independent Director System in China

As a supervisory system, the independent director system should be a fair third party. However, for a long time, due to "soft mouthed and short handed", it has gradually become a "vase", and even a channel for major shareholders of some companies to share benefits with "relatives and friends". In the recent case of corporate financial fraud, independent directors were sentenced to assume joint and several liability for compensation, and then dozens of enterprises saw the resignation of independent directors, which aroused the attention of the society to independent directors. A large number of scholars also wrote about their thinking on the independent director system.
